Richard Winter, Adviser
Richard Winter Richard Winter was (until he recently retired from full time employment) an accomplished former Executive Vice President, General Counsel and Company Secretary of a FTSE 100 company with broad commercial experience (involving many jurisdictions). In a career spanning 39 years his acquired knowledge and specialist skills range from: risk management, internal audit, compliance, corporate governance, CSR, franchising and management contracts, mergers and acquisitions, integration and restructuring, change management, property and talking to investors.

Richard qualified as a commercial lawyer in 1971 at Eversheds, Birmingham and after a period in industry, returned to become a commercial law partner (from 1981 onwards). After establishing Eversheds’ London office (1993) he became managing partner of the London office. During the 4 year period from 1975 – 1979 he worked as a commercial lawyer for Fisons plc.

From 1994 until 2000 Richard was Director of Group Legal for Bass PLC (subsequently renamed Six Continents PLC), before becoming General Counsel and Company Secretary of the Group in 2000 where he specialised in commercial contracts, acquisitions and disposals until 2003.

Before and after joining Bass PLC, Richard Winter held various NED positions and was closely involved with a wide range of businesses including brewing, pubs and pub restaurants and hotels. His roles included: Director, Bass Brewers 1997 – 2000, Director, Bass Leisure Retail (now Mitchells & Butlers PLC) 2000 to 2002, Director Britannia Soft Drinks Limited and Director Britvic Holdings Limited 2002 to 2005, and Director Trademark Owners Association 2003 to 2004.

Richard’s considerable Board and Executive Committee experience includes collective responsibility for all aspects of a FTSE 100 global business (with Bass PLC, Six Continents PLC and most recently InterContinental Hotels Group PLC). As former Executive Vice President, Corporate Services, General Counsel and Company Secretary at InterContinental Hotels Group PLC (2003 – 2009) Richard was responsible for the global “administration” of the Group including all Board and Board Committee matters, Group Legal, Company Secretariat, Corporate Governance, Corporate Social Responsibility, Risk Management, Insurance, Data Privacy, Records & Information Management, Internal Audit and subsidiary company board matters. As a member of the Executive Committee he also had full involvement and collective responsibility for management of the business including strategy, financial and non financial performance.

Richard was also a former member of the CBI Competition Law Panel from 1995 to 2000, a member of the Law Society, the Solicitors’ European Group and a former member of the Council of the Birmingham Law Society and was a regular lecturer and seminar leader at Eversheds’ national training conferences prior to 1994.

In 2008 he was nominated for property agents “deal of the year” award for simultaneous purchase, sale and leaseback of InterContinental Hotel Group’s head office at Denham and received the ICSA award for “Most Innovative Approach to CSR” on behalf of InterContinental Hotels Group in recognition of his work.

In 2009, reflecting Richard’s previous achievements in the field of sound corporate governance, InterContinental Hotels Group PLC was ranked third in a survey of the top 100 companies listed on the London Stock Exchange conducted by consultancy firm Resources Global Professionals.

Richard continues to remain closely involved with the hotel industry through his own businesses which he has recently established, namely International Hotel Intelligence Limited and Dadkin Hotel Developments. Richard is also Chairman of GH Property Management Services Limited.
